  • Senior Transactions Paralegal / Corporate & Commercial Transactions Coordinator

Position Summary

We are accepting applications for an experienced and highly organized Corporate & Commercial Transactions Paralegal to support our business lawyers’ corporate & commercial practice.

The candidate will play a key role in managing and coordinating commercial financing transactions from inception to closing & reporting, including secured commercial real estate transactions, as well as share and asset acquisitions, corporate reorganizations, financings.

This position requires a professional who can work independently, exercise sound judgment, manage multiple priorities, and contribute meaningfully to transaction execution.

 

Key Skills & Responsibilities

Corporate and Commercial Transactions

  • Assist lawyers with all aspects of commercial real estate transactions, including agenda preparation, due diligence, document preparation coordination with counsel / closing and reporting.  
  • Assist lawyers with all aspects of corporate transactions including corporate/tax reorganizations, share purchases, asset purchases, mergers, amalgamations, financings, joint ventures.
  • Prepare, organize, and maintain transaction documents and closing deliverables.
  • Conduct corporate due diligence reviews and summarize findings.
  • Prepare and review corporate records, registers, resolutions, and organizational documents.
  • Coordinate transaction closings, including preparation of closing agendas, execution packages, closing books, and post-closing matters.
  • Communicate directly with clients, opposing counsel, accountants, financial institutions, and regulatory authorities as required.
  • Track transaction timelines and ensure completion of all required filings and deliverables.

Practice Support

  • Work closely with lawyers to manage transaction workflows and deadlines.
  • Assist in drafting correspondence, reports, and transaction-related documentation.

Qualifications

  • Paralegal diploma, or equivalent combination of education and experience.
  • Minimum 3 to 5 years of experience in corporate and commercial law, in a law firm environment.
  • Significant experience supporting corporate transactions, including share and asset acquisitions and corporate reorganizations.
  • Strong knowledge of corporate statutes, corporate records, and transaction processes.
  • Experience with electronic closing platforms and document management systems is an asset.
  • Proficiency with Microsoft Office applications.

Skills and Competencies

  • Strong organizational skills.
  • Excellent attention to detail and accuracy.
  • Ability to work independently with minimal supervision as well as part of a team.
  • Ability to manage multiple transactions and competing deadlines simultaneously.
  • Strong written and verbal communication skills.
  • Ability to exercise discretion and maintain strict confidentiality.
  • Collaborative team player with a client-focused approach.
  • Proven ability to anticipate needs and proactively support lawyers and clients throughout complex transactions.

Preferred Experience

  • Experience with Commercial real estate transactions, secured financing, corporate reorganizations share purchase transactions, asset purchase transactions, amalgamations, and financings.
  • Experience coordinating transaction closings, reporting to lenders and clients, and preparing closing books.
  • Familiarity with Property Online, corporate registry systems and electronic filing platforms.
  • Experience working directly with sophisticated business clients, accountants, lenders, and external advisors.

This role offers an opportunity to be a key contributor to a unique and dynamic practice and to take ownership of significant aspects of transaction management while working closely with lawyers and clients on complex corporate and commercial matters.

 

  • Commercial Real Estate & Commercial Transactions Lawyer

We are accepting applications for an experienced lawyer to join our growing team as a Staff Lawyer.

This position is ideal for a lawyer who enjoys sophisticated commercial work, values collaboration, and wants to practise at a high level without the traditional pressures of private practice.

About the Role

The successful candidate will work on a broad range of commercial transactions and advisory matters, with a primary focus on commercial real estate and corporate commercial law.

The practice will include:

  • Commercial real estate acquisitions and dispositions
  • Commercial leasing
  • Real estate development transactions
  • Commercial financing and secured lending transactions
  • General corporate and commercial advisory work
  • Indigenous commercial projects, including equity participation, asset acquisitions, and business transactions involving Indigenous communities and organizations

This is a hands-on role offering significant responsibility, direct client interaction, and the opportunity to work on complex and meaningful transactions.
